These terms apply to every engagement with Artifex (Vincent Lujic): consulting, mentoring and training, and engineering. Whatever we agree in a quote or contract for a specific engagement takes precedence. The German version of these terms is the binding one.
Our quotes are valid for 30 days unless they say otherwise. A contract is concluded when you accept a quote in writing, and an e-mail is enough. Changes to the scope are agreed in writing as well, together with what they mean for fees and timing.
We carry out our work carefully and in line with current practice. Unless we have expressly agreed on a specific result, our engagements are mandates under Art. 394 ff. of the Swiss Code of Obligations: we owe careful work, not a guaranteed outcome. We may bring in qualified partners and remain responsible to you for their work.
AI systems make mistakes. Results that AI produces or helps to produce, such as drafts, answers or analyses, are checked by your people before they are used, especially when they reach customers or carry legal or financial weight. The solutions we build make this review part of the workflow.
You give us the information, access and contact people we need in good time, and you make sure you are allowed to share the data and documents you hand over. Delays caused by missing input can move deadlines and add cost.
Fees follow the quote, either as a fixed price or by time spent at the agreed rates. Expenses are charged separately where agreed, and VAT is added where it applies. Invoices are payable within 30 days without deduction. For longer engagements we may invoice monthly or by milestone. Licence and usage costs for third-party software and AI services are yours unless the quote says otherwise.
You can move a workshop or training date free of charge up to 10 working days before it takes place. If you cancel later, we charge 50% of the agreed fee, and the full fee within 3 working days of the date, in each case plus costs already incurred. Sending someone else in your place is always free.
Once paid in full, you may use the results made for you, such as reports, configurations, prompts and code, for your own business without limits in time or place. We keep the rights to our methods, tools, templates and components that existed before the engagement or are not specific to you, and you may use them as part of the results. Open source and third-party software stay under their own licences.
Both sides keep confidential whatever they learn about the other's business during the engagement, also after the work has ended. We name you as a client only with your consent.
We handle personal data under Swiss data protection law and our privacy policy. Where we process personal data on your behalf, we sign a data processing agreement with you before we start.
We are liable for damage we cause intentionally or through gross negligence. Liability for slight negligence is excluded to the extent the law allows, and so is liability for indirect and consequential damage such as lost profit. In any case our liability per engagement is limited to the fees paid for it. For third-party services such as AI models, hosting or software licences, we are liable only for choosing and setting them up with care.
Under Swiss law, either side can end a mandate at any time. Work done up to that point is paid. If one side ends it at an inopportune time without good reason, it compensates the other for the resulting damage.
We may update these terms. Running engagements keep the version agreed at their start unless both sides agree otherwise.
Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Jonen.
